Acceptance of Terms & Eligibility

These Terms and Conditions ("Terms") constitute a legally binding contract between you ("User", "you", or "your") and ThinkNCollab ("ThinkNCollab", "we", "us", or "our"), governing your access to and use of the website at thinkncollab.com, the thinkncollab-shell CLI package, Model Context Protocol (MCP) servers, REST/WebSocket APIs, and all associated software and services (collectively, the "Platform").

By creating an account, authenticating via GitHub or Google, downloading or running our CLI, or accessing any collaborative room, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have full legal authority to bind that entity.

Age Requirement: You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Platform. Minors aged 13 to 17 may only use the Platform under the direct supervision of a parent or legal guardian who agrees to be bound by these Terms.

Description of Services & Modifications

ThinkNCollab operates a developer war-room and collaboration suite that unifies real-time task management, shared terminals, and audio/video team collaboration. Services include, but are not limited to:

• Interactive Real-Time Workspaces: Dedicated collaborative project rooms with Kanban task boards, presence tracking, and resource embedding.
• Terminal & Shell Streaming: Local pseudo-terminal (PTY) sharing and command execution via the thinkncollab-shell (thinknsh) CLI.
• Audio/Video Conferencing & WebRTC: Peer-to-peer and SFU audio/video rooms, screen sharing, and recording integrations.
• AI & Automation Tooling: Algorithmic task prioritization (TaskScoreCalculator), AI Project Management recommendations, and speech-to-text meeting summaries.
• Developer Ecosystem Integrations: Official GitHub App synchronization (commits, pull requests, issues, webhooks) and Figma frame embedding.

Service Modifications: We reserve the right to modify, enhance, throttle, suspend, or discontinue any feature, endpoint, or quota of the Platform at any time with or without prior notice. We shall not be liable to you or any third party for any modification or discontinuance of the Services.

Account Registration & Secret Key Security

To access workspace features, team collaboration, and terminal streaming, you must establish an account. You agree to provide accurate, current, and complete registration details and keep your profile updated.

Strict Responsibility for Authentication Secrets: You are solely responsible for maintaining the strict confidentiality of your account credentials, passwords, session tokens, and cryptographic configuration files. Specifically, you must safeguard:

• The .tncrc User Token File: Generated upon running thinknsh login, which authorizes your CLI interactions.
• The .tncproject Encrypted Workspace Token: Project configuration files enabling room-specific automation and terminal streaming.
• API Keys & Webhook Secrets: Programmatic access keys issued to your account.

Strict Liability for Account Actions: Any action, command, data transmission, or room modification executed under your account credentials or with your authentication tokens is legally deemed to have been executed by you. ThinkNCollab disclaims all liability for losses or damages arising from compromised local developer environments.

Interactive Shell & Remote Terminal Sharing Liability Shield

You acknowledge that command-line interfaces provide raw, unmediated access to host operating systems, connected networks, and attached storage. You use and share terminal sessions entirely at your own risk. ThinkNCollab acts exclusively as a conduit for streaming raw pseudo-terminal (PTY) bytes and exercises zero editorial control, inspection, or filtering over commands sent or received.

Under no circumstances shall ThinkNCollab, its founders, directors, employees, or contractors be liable for any direct, indirect, incidental, punitive, or catastrophic damage arising out of or related to terminal sharing, including but not limited to:

• Accidental or intentional execution of destructive shell commands (such as rm -rf, accidental file deletion, database dropping, or corrupting disk partitions);
• Host operating system corruption, kernel panic, port binding conflicts, or service crashes;
• Unauthorized command execution or malicious privilege escalation resulting from granting interactive write permissions to room collaborators;
• Exposure, loss, or corruption of local source code, environment variables, or databases.

You are exclusively responsible for ensuring that terminal streams do not output or expose sensitive data, including but not limited to .env files, production database connection strings, AWS/GCP access keys, private SSH keys, or proprietary source code. ThinkNCollab is not responsible for any credential breach resulting from data printed in a shared terminal.

You agree that you will not use thinkncollab-shell or terminal relay features to:

• Mine cryptocurrency or execute cryptojacking scripts;
• Conduct unauthorized vulnerability scans, port scans, or penetration tests against third-party networks;
• Launch Distributed Denial of Service (DDoS) attacks, brute force scripts, or network flooding;
• Distribute, install, or execute viruses, trojans, worms, ransomware, or malicious spyware;
• Establish unauthorized reverse shells, botnet nodes, or covert network proxies.

AI Services, Automation & Content Accuracy Disclaimer

ThinkNCollab incorporates automated algorithms and Artificial Intelligence tooling, including the AI Project Manager (AI PM), algorithmic Task Priority Scoring (TaskScoreCalculator), automated meeting transcript generation, and speech-to-text (STT) summaries.

• Advisory Nature Only: All AI outputs, task recommendations, priority scores, code snippets, meeting summaries, and transcripts are generated probabilistically and are provided strictly on an "AS-IS" and "ADVISORY" basis.
• No Warranty of Accuracy: ThinkNCollab makes no representations or warranties that AI-generated data is accurate, complete, reliable, or free of hallucinations, biases, or errors. Technical terms, speaker identities, and conversational nuances may be misstated or omitted.
• Mandatory Human Oversight: You are required to review, verify, and test all AI-generated code, priority recommendations, and meeting action items before implementing them or relying on them for critical business decisions. You bear 100% of the risk associated with relying on AI outputs.
• No Proprietary Training on Customer Code: We do not sell your private repository code or private terminal stream data, nor do we utilize your confidential code to train public machine learning foundation models without your explicit written consent.

Audio/Video Meetings, WebRTC & Recording Consent

ThinkNCollab facilitates real-time audio, video, and screen-sharing communications through WebRTC and SFU signaling architectures.

Multiple jurisdictions impose strict criminal and civil penalties for recording audio, video, or electronic communications without the affirmative consent of all participants (two-party/all-party consent statutes). You acknowledge that you are solely responsible for compliance with all applicable recording and wiretapping laws.

• If you initiate a recording, meeting transcription, or speech-to-text logging session, you warrant that you have provided prominent notice and obtained affirmative consent from every person in the room.
• You shall not use room audio/video tools for unlawful surveillance, eavesdropping, or unauthorized tracking.
• ThinkNCollab disclaims all liability resulting from your failure to notify room members or obtain required legal consents.

Intellectual Property & Customer Code Ownership

You Own Your Code: You retain complete and exclusive ownership of all proprietary rights, title, and interest (including all copyrights, patents, and trade secrets) in and to your source code, Git repositories, commit histories, task specifications, and project assets ("Customer Data"). ThinkNCollab claims zero ownership over your code.

Limited Operational License: By transmitting, hosting, or creating Customer Data on the Platform, you grant ThinkNCollab a strictly limited, worldwide, non-exclusive, royalty-free license to host, cache, transmit, reproduce, and display Customer Data solely to the extent necessary to provide, optimize, and secure the Platform for you and your authorized team members.

ThinkNCollab Intellectual Property: The Platform, including its underlying software, databases, algorithms (specifically including TaskScoreCalculator and SmartAssign), user interface design, branding, documentation, graphics, and CLI binaries, is the exclusive intellectual property of ThinkNCollab and is protected by applicable copyright, trademark, and trade secret laws.

• You may not decompile, reverse engineer, disassemble, or attempt to derive the source code of the Platform or CLI binaries.
• You may not scrape, frame, mirror, or repackage ThinkNCollab services for commercial resale without our prior written authorization.

User Content & Room Administration Responsibilities

You are solely responsible for all content, code, documentation, files, comments, and media posted in or streamed through your rooms.

• Content Representations: You represent and warrant that you hold all licenses and permissions necessary to share any content uploaded to the Platform, and that your content does not infringe the copyright, patent, trademark, trade secret, or privacy rights of any third party.
• Room Administrator Authority: Room administrators are responsible for managing access permissions, assigning viewer vs. editor capabilities, revoking invitations for terminated personnel, and moderating room conduct.
• Right to Takedown: ThinkNCollab reserves the right, but assumes no obligation, to review, monitor, block, or delete any content or suspend any room that violates these Terms or is reported for legal infringement.

GitHub App, OAuth & Third-Party Integrations

ThinkNCollab integrates with third-party platforms, including GitHub (via official GitHub Apps, OAuth, and Webhooks) and Figma.

• Minimal Permission Scopes: When installing the ThinkNCollab GitHub App, permissions are requested strictly to read repository metadata, branch commits, and pull requests to display activity on your collaborative board.
• Explicit Authorization & Revocation: We only access repositories you explicitly select. You can modify permissions or uninstall the GitHub App at any time via your GitHub Account Settings, which immediately severs webhook synchronization.
• Third-Party Outage Disclaimer: Third-party services operate outside of our control. ThinkNCollab is not liable for data loss, sync delays, or service interruptions caused by GitHub downtime, rate limiting, or breaking API changes.

Subscriptions, Quotas, Billing & Refund Policy

ThinkNCollab offers free and paid subscription plans (Free, Pro, Team, and Enterprise). Features, user seat allowances, active terminal streaming quotas, and storage allotments are set forth on our Pricing page.

• Recurring Billing: Paid subscriptions are billed in advance on a recurring monthly or annual basis. Your payment method will be charged automatically at the start of each billing cycle unless you cancel prior to the renewal date.
• Taxes: All listed prices are exclusive of applicable taxes (such as GST, VAT, or local sales taxes), which will be calculated and added during checkout as required by law.
• Strict No-Refund Policy: Except where strictly mandated by applicable statutory consumer protection law or agreed in a signed Enterprise Master Services Agreement, all subscription fees, seat upgrades, and platform charges are strictly non-refundable. ThinkNCollab does not issue pro-rated refunds for mid-billing cycle cancellations or unused quotas.
• Chargebacks & Payment Disputes: Initiating an unjustified chargeback or payment reversal constitutes a material breach of these Terms. We reserve the right to immediately suspend your workspace and recover all administrative and legal expenses incurred in contesting the chargeback.

Fair Use Policy (FUP) & Acceptable Use Restrictions

To preserve platform availability and latency for all users, ThinkNCollab enforces fair use thresholds across WebSocket message frequency, terminal stream bandwidth, SFU media relays, and API request volumes.

Prohibited Actions — You agree not to:

• Circumvent or attempt to bypass storage limits, terminal timeout counters, or rate limiters;
• Deploy automated web scrapers, crawlers, or harvesting bots against ThinkNCollab endpoints without written permission;
• Interfere with, intercept, or tamper with WebSocket connections or server infrastructure;
• Use the Platform to store, transmit, or distribute CSAM, terrorist propaganda, harassing content, or defamatory materials;
• Impersonate any person, entity, organization, or developer.

User Indemnification Obligations

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ThinkNCollab, its founders, directors, employees, affiliates, licensors, and service providers from and against any and all claims, damages, liabilities, losses, costs, and reasonable legal and accounting fees arising out of or related to:

• Your access to, use of, or inability to use the Platform or CLI;
• Any shell commands, scripts, or operations executed during terminal sharing sessions initiated or participated in by you;
• Your Customer Data, source code, or room content, including claims of copyright infringement, trade secret misappropriation, or defamation;
• Your breach of any provision, representation, or warranty under these Terms;
• Your failure to obtain mandatory participant recording or transcription consents in compliance with applicable law.

Disclaimer of Warranties ("AS-IS" & "AS-AVAILABLE")

THE PLATFORM, CLI BINARY (thinkncollab-shell), TERMINAL RELAYS, APIS, AND ALL INCLUDED CONTENT ARE PROVIDED EXCLUSIVELY ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

THINKNCOLLAB EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• THE PLATFORM WILL MEET YOUR SPECIFIC ARCHITECTURAL REQUIREMENTS OR EXPECTATIONS;
• SERVICES WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, SECURE, OR FREE FROM DATA LOSS;
• ANY BUGS, SYNCHRONIZATION LATENCIES, OR SOFTWARE DEFECTS WILL BE DETECTED OR CORRECTED;
• TERMINAL STREAMS, CHUNKS, OR COMMAND REPLIES WILL BE DELIVERED WITHOUT PACKET DROPS OR TRUNCATION.

Limitation of Liability & Monetary Cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THINKNCOLLAB, ITS FOUNDERS, DIRECTORS, AFFILIATES, AGENTS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUES, BUSINESS OPPORTUNITIES, GOODWILL, OR REPUTATION;
• LOSS OF CODE, REPOSITORY DATA, COMMITS, DATABASE RECORDS, OR SERVER INTEGRITY;
• COST OF PROCUREMENT OF SUBSTITUTE GOODS OR INFRASTRUCTURE SERVICES;
• SYSTEM DOWNTIME, CORRUPTED HOST MACHINES, OR DATA LEAKS OCCURRING VIA TERMINAL SHARING.

AGGREGATE MONETARY CEILING: IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THINKNCOLLAB ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR THE CLI EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO THINKNCOLLAB FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) INR ₹1,000 (OR USD $50.00 FOR INTERNATIONAL USERS) IF YOU HAVE ACCESSED THE PLATFORM UNDER A FREE TIER.

THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE CLAIM SOUNDS IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THINKNCOLLAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Account Suspension & Termination

We reserve the right, without liability and in our sole discretion, to suspend, restrict, or permanently terminate your account, revoke your CLI authentication tokens (.tncrc, .tncproject), and delete associated workspaces immediately and without prior notice if:

• You violate any provision of these Terms or our Acceptable Use Policy;
• We detect security anomalies, malicious terminal activity, or brute-force requests originating from your credentials;
• Your usage pattern poses an operational or legal threat to ThinkNCollab or other users;
• Required by law, regulation, subpoena, or government directive.

Survival of Provisions: Upon termination, your right to access the Platform ceases immediately. All provisions of these Terms which by their nature should survive termination shall survive, including Sections 3, 4, 5, 6, 7, 10, 12, 13, 14, 16, and 17.

Governing Law, Dispute Resolution & Arbitration

These Terms and any dispute or controversy arising out of or related to them shall be governed by and construed in accordance with the substantive laws of India, including the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023 (DPDP), without giving effect to conflict of laws principles.

Before initiating any formal legal proceeding, you and ThinkNCollab agree to first attempt in good faith to resolve any dispute through informal negotiation for a minimum period of thirty (30) days following receipt of written notice.

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, that is not resolved through informal negotiations shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.

• The arbitral tribunal shall consist of a sole arbitrator appointed by mutual consent of the parties.
• The seat and legal venue of arbitration shall be in India.
• The arbitration proceedings shall be conducted entirely in the English language.
• The arbitral award shall be final, conclusive, and binding upon both parties, and judgment may be entered in any court having jurisdiction.

Subject to the arbitration agreement above, the courts located in India shall have exclusive jurisdiction over any proceedings or injunctive relief sought in connection with these Terms.

General Provisions, Modifications & Legal Inquiries

Modifications to Terms: We may update these Terms periodically to reflect platform updates or legal amendments. When changes are made, we will update the "Effective Date" at the top of this page. In the event of material revisions, we will provide at least 30 days' advance notice via email or in-app workspace notification. Continued use after changes become effective constitutes acceptance.

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed to the minimum extent necessary, and all remaining provisions will remain in full force and effect.

Entire Agreement: These Terms, alongside our Privacy Policy, constitute the sole and entire agreement between you and ThinkNCollab with respect to the Platform, superseding all prior oral or written agreements.
